Terms and Conditions

These Terms and Conditions apply to products and services provided by Bluegrass Integrated Systems LLC (“BIS,” “Company,” “we,” “us,” or “our”). By accepting a quote, proposal, work order, invoice, service plan, or scheduling services, the customer agrees to these terms.

1. Scope of Services

BIS provides the products and services described in the accepted quote, proposal, invoice, work order, service plan, or written change order. These documents are incorporated into these Terms by reference.

Unless specifically included in writing, pricing does not include permits, cosmetic repairs, concealed conditions, after-hours work, third-party fees, defective customer-owned equipment, or additional work required by an authority having jurisdiction.

2. Customer Responsibilities

The customer is responsible for providing safe access to the property, working electrical power, internet or network access when needed, accurate contact information, required approvals, alarm permit information, user lists, passwords, and any other information reasonably needed to complete the work.

The customer is responsible for obtaining and maintaining any required permits, HOA approvals, landlord approvals, property owner permissions, alarm registrations, insurance, and user authorizations unless BIS expressly agrees in writing to handle a specific item.

The customer is also responsible for maintaining internet service, Wi-Fi, cellular service, power, batteries, passwords, mobile devices, manufacturer accounts, and other items needed for system operation unless covered by a written support plan.

3. No Guarantee and No Insurance

No security, alarm, camera, access control, fire, life safety, network, smart home, or monitoring system can guarantee prevention or detection of burglary, fire, flood, medical emergency, unauthorized access, property damage, personal injury, or other loss.

BIS is not an insurance company and does not provide insurance. Amounts paid to BIS are based on the services provided, not the value of the customer’s property or potential risk of loss. Customers should maintain insurance appropriate for their property, business, and personal risks.

4. Monitoring and Self-Monitoring

If professional monitoring is included, BIS may arrange monitoring through a third-party central station or service provider. Monitoring procedures, dispatch decisions, verification steps, communication paths, and response times may depend on the central station, local authorities, customer contact lists, permit status, signal type, and available communication service.

If self-monitoring or customer-managed remote access is selected, the customer is responsible for receiving alerts, maintaining app access, responding to notifications, contacting emergency services, keeping notification settings active, and ensuring authorized users know how to operate the system.

BIS is not responsible for police, fire, EMS, guard, or authority response time, refusal to dispatch, false alarm fees, permit suspension, forced entry, non-response policies, or communication failures caused by internet, Wi-Fi, cellular, telephone, power, third-party platforms, or customer-owned equipment.

5. Cameras, Audio, Privacy, and Legal Compliance

The customer is solely responsible for complying with all federal, state, and local laws related to video recording, audio recording, workplace monitoring, privacy, consent, signage, and disclosure.

BIS does not provide legal advice regarding camera placement, audio recording, privacy notices, employee monitoring, or compliance obligations. The customer agrees not to use any system for unlawful recording, harassment, stalking, discrimination, or invasion of privacy.

6. Networking and Cybersecurity

When BIS provides networking or network administration services, those services are limited to the written scope of work.

BIS does not guarantee cybersecurity, uninterrupted connectivity, prevention of hacking, protection from malware or ransomware, prevention of unauthorized access, data recovery, or protection against third-party platform failures. The customer is responsible for using strong passwords, account recovery options, multi-factor authentication where available, user access controls, and backups.

7. Existing or Customer-Supplied Equipment

For existing or customer-supplied equipment, BIS may inspect, connect, service, program, or attempt to take over the system. However, BIS does not warrant the condition, compatibility, remaining life, code compliance, workmanship, or hidden defects of equipment, cabling, batteries, power supplies, cameras, panels, locks, sensors, or network devices not originally supplied and installed by BIS.

Additional charges may apply if defective equipment, undocumented programming, locked accounts, damaged wiring, incompatible hardware, missing parts, unsafe conditions, or additional authority requirements are discovered.

8. Installation Conditions and Change Orders

Concealed or unknown conditions may affect cost, schedule, and feasibility. These may include framing, masonry, insulation, fire blocking, buried utilities, landscaping, concrete, inaccessible spaces, environmental hazards, undocumented wiring, blocked cable paths, water damage, or structural limitations.

BIS may stop work or issue a change order if unknown conditions are discovered. Any material change in scope, equipment, location, cable route, schedule, or customer-requested work must be approved in writing.

9. Payment Terms

The customer agrees to pay all charges listed in the accepted quote, invoice, proposal, work order, service plan, or change order. Unless otherwise stated in writing, deposits are due before scheduling or ordering materials.

Past-due balances may result in suspension of service, warranty service, monitoring coordination, remote support, or future scheduling to the extent allowed by law and after any required notice. The customer is responsible for collection costs, returned payment fees, reasonable attorney fees, court costs, and other collection expenses unless prohibited by law.

Payment may not be withheld due to minor punch-list items, third-party delays, permit delays, manufacturer issues, customer-caused delays, or work outside the written scope.

10. Term, Renewal, and Cancellation

These Terms begin when the customer accepts a quote, signs an agreement, approves work, or authorizes services, whichever occurs first.

Project work remains subject to these Terms until paid in full. Recurring services continue for the selected term or billing cycle unless canceled as allowed by the applicable service plan.

Month-to-month recurring services may be canceled with at least thirty days’ written notice unless the service plan states otherwise. Cancellation requests must be sent to info@bluegrassintegrated.com. Prepaid charges are non-refundable unless BIS agrees in writing or applicable law requires otherwise.

If a customer cancels an initial-term contract before the end of the term, the customer may be responsible for early termination charges as stated in the applicable agreement or service plan.

11. Warranty and Service

BIS warrants that installation labor performed by BIS will be completed in a workmanlike manner for one year from substantial completion unless a different period is stated in writing.

Manufacturer warranties, if any, are provided by the manufacturer and are subject to the manufacturer’s terms, exclusions, and claim procedures.

This warranty does not cover batteries, consumables, customer-supplied equipment, existing equipment, internet/Wi-Fi/cellular issues, power problems, lightning, surge, water damage, misuse, abuse, tampering, vandalism, acts of God, unauthorized changes, software updates, manufacturer platform changes, or work performed by others.

Service after the warranty period or outside warranty scope is billable at BIS rates then in effect.

12. Limitation of Liability

It is difficult to determine the actual damages that may result from a failure of equipment, services, monitoring, communication paths, or third-party platforms. To the fullest extent allowed by law, BIS is not liable for consequential, incidental, special, exemplary, punitive, indirect, personal injury, property damage, lost profit, lost data, business interruption, loss of use, privacy, cybersecurity, or similar damages.

If BIS is found liable under any legal theory related to the equipment or services, BIS’s liability is limited to the greater of:

  1. Ten percent of the amount paid by the customer to BIS for the specific service giving rise to the claim during the twelve months before the claim; or

  2. Five hundred dollars.

The customer agrees to release BIS and waive rights of recovery and subrogation against BIS to the fullest extent allowed by law.

13. Third-Party Services and Platforms

Many systems depend on third-party manufacturers, apps, cloud platforms, cellular carriers, internet providers, monitoring centers, payment processors, and software providers. These providers may change pricing, terms, features, compatibility, storage periods, app availability, firmware, integrations, or support without BIS control.

BIS is not responsible for third-party outages, discontinued products, platform changes, subscription requirements, loss of cloud recordings, app issues, cellular or internet failures, manufacturer account issues, or third-party terms.

14. Permits, Codes, and Authority Requirements

The customer is responsible for permits, registrations, false alarm fees, inspections, and authority approvals unless BIS expressly agrees in writing to handle a specific item.

Fire alarm, life safety, access control, electrified door hardware, gate, and emergency system work may require code compliance, inspections, drawings, licensed trades, or authority approval. BIS is not responsible for delays, fines, failed inspections, or additional requirements caused by existing conditions, customer decisions, third-party work, or work outside BIS’s scope.

15. Access, Safety, and Customer Property

The customer must provide safe, legal, and reasonable access during scheduled work times. The customer must secure pets, remove fragile items, identify hazards, disclose unsafe conditions, and provide adult supervision where required.

BIS may refuse or stop work if conditions are unsafe, unlawful, abusive, or outside the agreed scope. Unless specifically included in writing, BIS is not responsible for painting, drywall repair, cosmetic repairs, landscaping repair, or restoration beyond ordinary cleanup.

16. Remote Access, Passwords, and Documentation

At project closeout, BIS may provide available documentation such as device lists, camera names, network settings, warranty information, user instructions, and password handoff as applicable.

The customer is responsible for safeguarding credentials and controlling user access. The customer may request removal of BIS remote access after completion, but removal may limit BIS’s ability to provide remote support, warranty troubleshooting, monitoring coordination, or future service.

17. Privacy and Personal Information

The customer agrees to provide accurate personal information, emergency contact information, account information, and service-related details.

BIS may use customer information as needed to provide services, billing, support, warranty service, monitoring coordination, compliance, and business records. BIS will not sell customer personal information and will not disclose it for unauthorized use.

The customer is responsible for securing devices used to access BIS-related services, including phones, tablets, computers, apps, passwords, and accounts.

18. Disputes and Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky.

Before filing suit, the parties agree to make a good-faith effort to resolve disputes through written notice describing the issue and requested resolution. If the dispute is not resolved within forty-five days after notice, either party may pursue available remedies. Class, collective, and representative claims are waived to the fullest extent allowed by law.

19. Notices

Notices to the customer may be sent by email, mail, invoice message, customer portal, text message, or other contact information provided by the customer.

Notices to BIS must be sent to the contact information listed on the accepted proposal, invoice, agreement, or company website unless BIS provides a different notice address in writing.

20. General Terms

The customer may not assign these Terms without written consent from BIS. If any provision is found invalid or unenforceable, the remaining provisions remain enforceable. Failure to enforce one provision is not a waiver of any other provision.

These Terms, together with accepted quotes, proposals, invoices, work orders, service plans, and change orders, form the entire agreement between the customer and BIS for the services provided
